Terms of Service

We may update or modify these Terms of Service at any time effective upon posting the revised Terms of Service, along with the date on which it was most recently updated, on the Sites. Your continued use of the System and/or the Services thereafter signifies your acceptance to such changes.

We reserve the right to terminate these Terms of Service, or to refuse, restrict, or discontinue access to the System or use of the Services to you or any other person or entity, for any reason or for no reason whatsoever, at any time, without notice or liability.

Mētan's privacy policy (the "Privacy Policy") applies to your use of the System and the Services, and its terms are made a part of these Terms of Service by this reference. We encourage you to read and become familiar with our privacy practices, as described in the Privacy Policy.

In order to access the System, you must create an account with Mētan and complete the registration process by providing us with current, complete and accurate information. You acknowledge and agree that you are not permitted to create more than one account on the System.

You are entirely responsible for maintaining the confidentiality of your password and account and for any and all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

Only individuals who are of legal age to form a binding contract under applicable law (i.e., eighteen (18) years of age or older in most jurisdictions) are permitted to create an account or register to use the System.

To use the Mētan mobile application (the "Mētan App"), you must have a compatible mobile device. Mētan does not warrant that the Mētan App will be compatible with your mobile device.

If you access the Mētan App using an Apple iOS or Android powered device, Apple Inc. or Google, Inc., and their subsidiaries, respectively, shall be a third-party beneficiary to this contract.

The Mētan App may automatically download and install updates from time to time. You acknowledge that in some instances updates and/or new versions may reduce or remove features and functionality in prior versions.

Mētan grants you a personal, non-transferable, and non-exclusive right and license to use the Services via the System solely for your internal use, subject to the condition that you do not copy, modify, create a derivative work from, reverse engineer, or otherwise attempt to discover any source code, sell, assign, sublicense, or transfer any right in or access to the System.

You agree not to use or launch any automated system (including "robots," "spiders," or "offline readers") that access the System in a manner that sends more messages or requests than can be reasonably performed by a human being.

As a condition of your use of the System or Services, you agree that you will not use the System or Services for any purpose that is unlawful or prohibited by these Terms of Service.

When using Communication Services, you will not:

• Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others
• Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material
• Upload content that infringes any patent, trademark, trade secret, copyright, or other proprietary right
• Upload material that contains viruses or any computer code designed to damage property
• Harvest or collect information about others without their consent
• Violate any applicable laws or regulations
• Harm minors in any way
• Impersonate any person or entity
• "Stalk" or otherwise harass another person

• Joining meetings without authorization or invitation
• Sharing meeting links or access codes with unauthorized individuals
• Using meeting features to engage in harassment, discrimination, or illegal activities
• Attempting to disrupt, sabotage, or interfere with ongoing meetings
• Recording meetings without explicit consent from all participants (where legally required)
• Sharing confidential or proprietary information discussed in meetings without authorization

The System may offer optional integration with Google Calendar to facilitate meeting scheduling. Use of this feature requires:

• Your explicit authorization to access your Google Calendar
• Your compliance with Google's Terms of Service
• Your acknowledgment that you are subject to Google's Privacy Policy

By connecting your Google Calendar, you authorize Mētan to:

• Query your calendar availability (free/busy times) to suggest meeting times
• Access your calendar list to enable calendar selection
• Create calendar events with video conference links when you schedule meetings

You may revoke calendar access at any time through your Google Account settings or within the Mētan System.

The System is the property of Mētan and is protected by United States and International copyright laws. All copyright, trademark, patent, and other proprietary rights on System and in the software, text, graphics, design elements, audio, music, and all other materials are reserved to Mētan.

You may not reproduce, upload, post, transmit, download, or distribute any part of the System Content without prior written consent.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the following information to the designated agent:

• A description of the copyrighted work that you claim has been infringed
• A description of where the material can be located
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that your information is accurate
• Your electronic or physical signature

You agree to indemnify, defend and hold Mētan and its affiliates harmless from and against all claims, demands, suits or other proceedings, and all resulting loss, damage, liability, cost, and expense (including attorneys' fees), brought by any third party in connection with your use of the System or Services, your violation of these Terms of Service, or your violation of any applicable law.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PUBLISHED ON THE SYSTEM MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

MĒTAN DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE MEETING SERVICES. MEETING QUALITY MAY BE AFFECTED BY FACTORS INCLUDING BUT NOT LIMITED TO INTERNET CONNECTION, DEVICE COMPATIBILITY, AND THIRD-PARTY SERVICE PROVIDERS.

IN NO EVENT SHALL MĒTAN BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SYSTEM.

11.1 Choice of Law and Venue

These Terms of Service shall be governed by and construed in accordance with the laws of Delaware, USA. You hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

11.4 Severability

If any part of these Terms of Service is determined to be invalid or unenforceable, the invalid provision will be deemed superseded by a valid provision that most closely matches the intent of the original provision.

11.6 Entire Agreement

These Terms of Service and the Privacy Policy constitute the entire agreement between you and us with respect to the System and the Services.
